Design Agreement

We at Southern Farmhouse Designs (“SFD”) find it's best to have a few things written down so that SFD and it’s client(s) both understand this agreement. This agreement will define each party’s responsibilities— who should do what and what happens if things go wrong. In this agreement, the client(s) won't find complicated legal terms or long passages of unreadable text. SFD wants it’s client(s) to understand this agreement is based on, and does not want them to sign something that they might later regret or do not understand.

We Both Agree To: *
The client(s) agrees to provide SFD with everything that we will need to complete the project—-photos, dimensions, share Pinterest boards—when SFD needs it. The client agrees to review the work, and to provide feedback and approval within the time frame that we agree upon. The client(s) agrees to stick to the payment schedule set out at the end of this agreement. The client(s) agrees to be patient with SFD—knowing we only work a few days a week via email and has an understanding that SFD will respond as soon as we can. The client(s) also understands that SFD only works on-site certain days of the week (MWF), due to family obligations. With that being said, SFD will work very hard on those days for you. If for some reason we need to meet on a non on-site work day, the client(s) understands that these meetings must be set at least one week in advanced. Once a meeting time is schedule, the client(s) agrees to arrive on time. Please give us 24 hour cancelation notice if any meeting needs to be cancelled. SFD agrees to not share any sensitive information regarding the client(s) or their project, such as addresses, payment information, or any other supplied information.
The Process *
The Process: After the first initial contact, the client(s) will be asked to complete an online questionnaire about their space. We will discuss budget, fees for the project, & schedule a time to come in to see the client(s) home. Once the agreement has been signed and design appointment scheduled, the process will continue as follows: 1) A week prior to your appointment we will confirm, email you an invoice. 2) The client(s) will also receive an email to join Basecamp (a free online project managment program). The client(s) will need to join Basecamp. 3) The SFD team will visit with the client(s) in their home or new build to take pictures, get measurements. Online clients are required to submit photos & measurements to the SFD team. Client(s) will show us pieces they would like to keep & use in their new or renovated home. If the contractor or architect has provided the new floor plan, the client(s) will provide us a copy so we can have accurate measurements of the new space. 3) We shop online, and create a design board for each space of the home that we are working in, 4) We communicate a lot via Basecamp. Because of family reasons, SFD’s availability is limited to discuss designs over the phone, but if needed we can arrange a time, 5) SFD will create a design board for the client(s) space, as well as any other items their local package includes, and will be sent in a PDF file via Basecamp.
Communication: *
It is incredibly important that the project move along smoothly, so please respond and supply feedback in a timely manner. If more than 2 weeks lapse regarding communication from the client(s) about their design work, the project will be terminated without refund.
Payment: *
The total project cost will be split up into two payments. The first payment (50%) is due once the proposal has been accepted and agreement signed, as a retainer. The final payment will be due upon completion of the project. All payments are due within 15 days of invoice dates. Final payments that are not received within 15 days of invoice date will incur a late fee of 10% of the total amount due. Because the client(s) are paying for SFD’s time and expertise, payments will not be refunded once work has commenced, except in SFD’s sole discretion. All payments must be made in US currency.
Revisions *
The client(s) can have as many revisions as they would like to their design. The cost will be charged hourly within the client(s) allotted hours which they have purchased.
Cancellation: *
In the event that we cannot work together, either party may terminate this agreement by providing written notice by email to the other party. This agreement will terminate 5 days after the receipt of notice by either party. In the event that this agreement is terminated, the client(s) will be responsible for payment of all outstanding balances for all work performed prior to cancellation.
Recommendations & Liability *
SFD will gladly provide you with a list of recommendations for builders, contractors, painters, carpenters, etc. However, SFD assumes no responsibility for work of contractors, or it’s agents, servants, employees, or licenses, nor do we guarantee their work. . Client(s) agree to indemnity and save SFD harmless from any and all claims from any act, omission or neglect of contractors, or it’s agents, servants, employees, or licenses arising from any accident, injury or damage whatsoever caused to any person or pretor as a result of contractors work. The client(s) is responsible for getting quotes, hiring, and setting up payments with contractors, as well as scheduling.
Rights: *
Throughout the design process, the client(s) is more than welcome to share any photos of their space on social media. Please be sure to tag @SouthernFarmhouseDesigns with any post. SFD loves to share work that we have done and are doing. We reserves the right to display work and link to the clients completed project as part of our portfolio and to write about the project on our blog, share them on social media, and for other marketing purposes.
Refunds *
We will do our very best to design a space that you love. Please note, that due to the nature of the work, all design services are non-refundable.
The "Small Print": *
Just like a parking ticket, the client can’t transfer this agreement to anyone else without written permission from SFD. This agreement shall be governed, construed and enforced in accordance with the laws of the State of Texas without regard to its conflict of law rules. However, we each agree that we will try to resolve any dispute that may arise in mediation before we proceed.
By typing the client's name below in the designated box and paying the deposit, the client is accepting and agreeing to all of the terms of the Design Agreement presented above.
